M&A/Corporate: Experience

Some of our lawyers’ experience in this area include:

  • The reorganization of Alfa Finance Holding related to its solar business: as a result of reorganization of the activities of Alfa Finance Holding and its subsidiary Kaolin AD (“Kaolin”), the solar business of the group, previously carried out by the listed company Kaolin was spanned-off in a separate unit – the newly formed Solarpro Holding AD, an indirect subsidiary of Kaolin.  The shareholders of Kaolin were granted the option to swap a portion of their shares in Kaolin against shares of the new solar company, also a listed company. This transaction was the first in Bulgaria of that kind. DTT has acted as legal counsel to Kaolin which was the company responsible for the transaction within the group;
  • the sale of a 49.99 per cent interest in Bulgarian-American Credit Bank AD (“BACB”), a company listed on the Bulgarian Stock Exchange, from the major shareholder the Bulgarian-American Enterprise Fund (“BAEF”) to Allied Irish Banks (in a team with SKV). The consideration payable by AIB to BAEF is approximately €216 million. BACB is a specialist provider of secured finance to small and medium sized companies in Bulgaria. BAEF is a private U.S. corporation established in 1991 under legislation enacted by the U.S. Congress to promote active participation in the development and expansion of the economy in Bulgaria. DTT/SKV acted as a counsel to BAEF and its international advisor Kirkland & Ellis, Chicago;
  • the merger of 8 grain business companies resulting in formation of Zarneni Hrani Bulgaria AD, that is the biggest merger including a listed company;
  • Advising the merger of the Bulgarian River Shipping Company AD, the national cargo river company, with Chimimport Bimas OOD, a company possessing atractive buildings, land and equipment for fuel and oil processing and storage, located in Russe on the Danube;
  • Advising the redemption of shares and decrease of capital of the holding company Doverie Capital AD and of the cosmetic company Alen Mak AD;
  • Advising some aspects of the liquidation of Bules AD owned by the Austrian wood and furniture producer Kronospan.
